Terms of Service

Please read these Terms of Service (“Terms”) carefully before using RFQ Link (the “Service”), operated by Wooli Oy (“Wooli”, “we”, “us”, or “our”). These Terms set out the rights and responsibilities between you and Wooli when you access or use the Service.

1. Agreement and Scope

  • By accessing or using the Service you agree to be bound by these Terms and any documents they incorporate by reference (e.g., Privacy Policy, Cookie Policy, Data Processing Agreement). If you do not agree, do not use the Service.
  • These Terms apply to all users of the Service, including buyers, suppliers, and visitors.

2. Definitions

  • “Account” means a user account registered on the Service.
  • “User Content” means data, materials, RFQs, bids, messages, attachments, profiles or other content you submit to the Service.
  • “Services” means the RFQ Link web application and any related features, tools, or services provided by Wooli.

3. Eligibility

You must be at least 16 years old (or the minimum age in your jurisdiction) to use the Service. By registering, you represent and warrant that you meet the eligibility requirement and have authority to act on behalf of any organisation you register for.

4. User Accounts and Security

  • Account information: When creating an Account you must provide accurate, complete, and current information and promptly update it as necessary.
  • Account responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your Account. Notify Wooli immediately of any unauthorized use or breach of security via our support channels.
  • Account verification: Wooli may require identity, business verification, or KYC information for certain account types or transactions. Refusal to provide required verification may limit or suspend access to certain Services.

5. Acceptable Use and Prohibited Activities

You agree to use the Service lawfully and not to:

  • Post content that is unlawful, defamatory, fraudulent, obscene, pornographic, harassing, hateful, or otherwise objectionable.
  • Impersonate another person or entity or misrepresent your affiliation.
  • Use the Service to bid on, offer, or procure illegal goods or services.
  • Attempt to access other users’ accounts, data, or confidential information.
  • Interfere with or disrupt the Service (including attempts to probe, scan, or test for vulnerabilities) or reverse-engineer the Service.
  • Use automated means (bots, scrapers) to extract data without Wooli’s prior written consent.
  • Circumvent usage limits, fees, or security controls.

Wooli may suspend or terminate accounts that engage in prohibited activities and will cooperate with law enforcement as required.

6. User Content; Ownership; Licence

  • Your ownership: You retain all ownership rights in User Content you submit.
  • Licence to Wooli: By submitting User Content, you grant Wooli a worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, modify, distribute, display, and perform the User Content as necessary to provide, promote, and improve the Services (including hosting, backup and caching). This licence includes the right to make User Content available to other users where applicable (e.g., RFQs visible to suppliers).
  • Responsibility for content: You represent and warrant that you have the necessary rights to submit User Content and that such content does not violate any rights of third parties.
  • Removal: Wooli may remove or restrict access to User Content that violates these Terms or applicable law.

7. RFQs, Bids, Transactions and Disclaimers

  • Platform role: Wooli provides a platform to post RFQs and for suppliers to submit bids. Wooli is a facilitator and does not act as a buyer, seller, or agent in transactions between users unless explicitly agreed in writing.
  • No endorsement or verification: Wooli does not endorse or guarantee the accuracy, quality, legality, or performance of RFQs, bids, suppliers or buyers unless expressly stated. Users are responsible for conducting their own due diligence.
  • Contracting: Any contractual relationship resulting from RFQs and bids is solely between the parties involved. Wooli is not a party to such contracts and is not responsible for performance, delivery, or payment unless otherwise agreed.
  • Payments and fees: If Wooli handles payments, those are governed by separate payment terms and the payment processor’s terms (e.g., Stripe). Wooli may charge fees for Services; fee schedules will be posted on the Service or provided in account billing documentation.
  • Disputes between users: Users must attempt to resolve disputes directly. Wooli may provide tools to assist but is not responsible for settling disputes and may suspend accounts involved in fraud or repeated disputes.

8. Fees, Billing and Refunds

  • Fees: Where applicable, you agree to pay the fees described at the time of purchase. Fees are exclusive of taxes which will be billed where required by law.
  • Billing: You authorize Wooli (or its payment processor) to charge your chosen payment method for fees and any applicable taxes. If a charge is declined, Wooli may suspend or terminate your access.
  • Refunds: Refunds are provided at Wooli’s sole discretion except where required by law. Specific products or services may have separate refund policies.

9. Intellectual Property Rights

  • Wooli IP: All intellectual property rights in the Service, underlying software, user interface, branding, documentation, and content provided by Wooli are owned by Wooli or its licensors.
  • Feedback: If you provide feedback, suggestions or ideas about the Service, you grant Wooli a perpetual, irrevocable, royalty-free licence to use and exploit such feedback without obligation.

10. Confidentiality

Each party shall keep confidential any non-public information disclosed by the other party and marked or reasonably understood to be confidential, and shall not disclose it except to permitted recipients or as required by law. This obligation does not apply to information that is public, rightfully received from a third party, independently developed, or required to be disclosed by law.

11. Warranties and Disclaimers

  • No warranty: The Service is provided “as is” and “as available” without warranties of any kind. To the fullest extent permitted by law, Wooli disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • Limited warranty where required: If required by applicable law, any implied warranties are limited in duration to the minimum period required.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Wooli and its affiliates, officers, directors, employees, agents and licensors will not be liable for:

  • Indirect, incidental, consequential, special, exemplary or punitive damages;
  • Loss of profits, revenue, data, business or anticipated savings;
  • Costs of procurement of substitute goods or services.

Wooli’s aggregate liability for direct damages arising out of or related to these Terms shall be limited to the greater of (i) the total fees paid by you to Wooli in the twelve (12) months preceding the claim, or (ii) €5,000. This limitation does not apply to liability resulting from gross negligence, wilful misconduct, fraud, or death or personal injury caused by Wooli’s negligence, or other liability that cannot be excluded or limited by applicable law.

13. Indemnification

You agree to indemnify, defend and hold Wooli and its affiliates, officers, directors, employees and agents harmless from and against any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your User Content; (c) your violation of applicable law; or (d) your use of the Service.

14. Termination and Suspension

  • Termination by Wooli: Wooli may suspend or terminate accounts and access at any time for breach of these Terms, suspected fraudulent activity, or other legitimate business reasons. Wooli will attempt to provide notice where practicable.
  • Termination by user: You may delete your account via account settings or request account deletion via support. Termination does not relieve you of obligations incurred prior to termination.
  • Effects: Upon termination, licences granted to Wooli for User Content survive to the extent necessary to preserve backups and comply with legal obligations. Wooli may retain certain data for the periods described in the Privacy Policy.

15. Governing Law and Dispute Resolution

  • Governing law: These Terms are governed by the laws of Finland, without regard to conflict of law provisions.
  • Dispute resolution: For disputes arising from these Terms, the parties will first attempt to resolve the dispute in good faith. If unresolved, disputes shall be brought before the District Court of Helsinki (or the competent Finnish court) or resolved through arbitration if the parties agree. Consumers may retain their local consumer protection rights.

16. Changes to the Terms

Wooli may modify these Terms from time to time. Material changes will be communicated to account holders by email or prominent notice on the Service at least 30 days before taking effect, except changes required by law may take effect sooner. Continued use after changes indicates acceptance.

17. Third-Party Services and Links

The Service may include links to third-party services, tools, or payment processors (such as Stripe). Your use of third-party services is governed by their terms and privacy policies. Wooli is not responsible for third-party services.

18. Export Controls and Compliance

You agree to comply with all applicable export and sanction laws and not use the Service in violation of any applicable trade restrictions.

19. Miscellaneous

  • Entire agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Wooli regarding the Service.
  • Severability: If any provision is held unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right is not a waiver of that right.
  • Assignment: You may not assign these Terms without Wooli’s prior written consent. Wooli may assign these Terms in connection with a corporate reorganization, merger, or sale.
